Terms of Service

By accessing or using the Service — including by creating an account, clicking to accept these Terms, or otherwise using any part of the Service — you agree to be bound by these Terms. If you are using the Service on behalf of a firm or other organization (a "Customer"), you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization. Where a Customer and Balau AI have entered into a separate written agreement, order form, or subscription agreement covering the Service, that agreement governs and controls to the extent it conflicts with these Terms.

Balau AI provides software that helps firms organize client, investor, and matter information, prepare for and capture meetings, and surface AI-assisted summaries, suggested facts, drafts, and action items for your review. The Service is a software tool only.

Balau AI is not a broker-dealer, custodian, registered investment adviser, bank, or insurer, and does not provide financial, investment, legal, tax, accounting, or other professional advice. The Service does not recommend securities or transactions, hold or move client assets, or act as a fiduciary to you or to your clients. Any decision about a client, an account, or an investment is yours alone.

The Service is intended for business use by regulated, relationship-driven firms — private capital, advisory and wealth, and legal — and their personnel, not for personal, household, or consumer use. To use the Service you must be at least 18 years old and capable of forming a binding contract.

You agree to provide accurate, current, and complete information when you create an account and to keep it up to date. You are responsible for safeguarding your account credentials, for all activity that occurs under your account, and for promptly notifying us at hello@balau.ai of any unauthorized use or suspected compromise. You may not share credentials or allow anyone other than the authorized user to access an account.

You remain solely responsible for compliance with all laws, rules, and regulations applicable to your practice — including securities, investment-advisory, broker-dealer, recordkeeping, advertising, communications, and privacy requirements — and for any supervisory, books-and-records, or retention obligations that apply to you. The Service is a tool you use in your practice; it does not assume, reduce, or discharge any of those obligations.

You are responsible for the data you and your users submit to or generate within the Service ("Customer Data"), including for having all rights, permissions, and consents necessary to provide that data to Balau AI and to have it processed by the Service. Where your clients' information is involved, you are responsible for obtaining any client notices or consents required by law before putting that information into the Service.

The Service uses automated and AI techniques to generate summaries, extracted facts, drafts, suggested action items, and similar outputs ("AI Output"). AI Output is decision-support information that requires human review. It may be inaccurate, incomplete, out of date, or otherwise unsuitable, and it should not be relied upon without independent verification.

Balau AI does not provide financial, investment, legal, tax, or other professional advice and is not a fiduciary. You are solely responsible for reviewing, verifying, and editing any AI Output before relying on it, and for all communications, recommendations, records, and decisions involving your clients, investors, or matters, whether or not they were informed by AI Output. You must not present AI Output as advice from Balau AI or as a substitute for your own professional judgment.

As between you and Balau AI, you retain all right, title, and interest in and to Customer Data. We do not claim ownership of it. You grant Balau AI a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data solely as needed to provide, secure, maintain, and improve the Service, and otherwise as described in our Privacy Notice. That license exists only to operate the Service for you and ends when the Customer Data is deleted from the Service, subject to the limited retention described in the Privacy Notice and any retention you instruct or the law requires.

How Balau AI handles personal data — what is collected, how it is used, who processes it, and how it is protected — is described in the Privacy Notice. Where Balau AI processes personal data on your behalf, that processing is governed by the Privacy Notice and, where applicable, the data processing terms provided with your customer agreement.

The Service — including the software, platform, user interface, documentation, and all related intellectual property, together with any improvements, and excluding Customer Data — is and remains the exclusive property of Balau AI and its licensors. Subject to these Terms and your payment of any applicable fees, Balau AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes during your subscription term.

You may not copy, modify, create derivative works of, reverse engineer, decompile, or attempt to derive the source code of the Service; rent, lease, sell, sublicense, or otherwise make the Service available to any third party; or remove or obscure any proprietary notices. All rights not expressly granted to you are reserved by Balau AI. Feedback you choose to provide may be used by Balau AI without restriction or obligation to you.

You agree not to, and not to permit anyone to:

• use the Service for any unlawful purpose or in violation of these Terms;
• infringe, misappropriate, or violate the intellectual-property, privacy, or other rights of any person;
• probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure;
• upload or transmit malware or any other harmful code, or interfere with or disrupt the integrity or performance of the Service;
• attempt to gain unauthorized access to the Service or to any account, system, or data that is not yours; or
• circumvent usage limits, or use the Service to build a competing product or to benchmark it without Balau AI's prior written consent.

Fees for the Service, if any, are set out in the applicable order form or subscription agreement between you and Balau AI. Unless that agreement states otherwise, fees are non-refundable and are exclusive of taxes, which are your responsibility. Where no separate agreement applies, your use is subject to any plan terms presented to you at sign-up.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Balau AI disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

Balau AI does not warrant that the Service will be uninterrupted, timely, secure, or error-free, that any AI Output or other results will be accurate or reliable, or that defects will be corrected. You are responsible for evaluating the Service's suitability for your needs and for reviewing AI Output as described in Section 5.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Balau AI's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Balau AI for the Service in the twelve months before the event giving rise to the liability, or (b) one hundred US dollars (US$100). These limitations apply to all claims in the aggregate and form an essential basis of the bargain between the parties. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You will defend, indemnify, and hold harmless Balau AI and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or of the rights of any third party.

These Terms apply for as long as you use the Service. You may stop using the Service and terminate your account at any time. Balau AI may suspend or terminate your access if you breach these Terms, if required to protect the Service or other users, or as otherwise permitted by your customer agreement.

On termination, your right to access the Service ends. Sections that by their nature should survive — including Customer Data and privacy provisions regarding ownership, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive termination. Treatment of Customer Data after termination is described in the Privacy Notice and any applicable customer agreement.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service, and each party waives any objection to venue in those courts.

We may update these Terms from time to time as the Service evolves. When we do, we will revise the "Last updated" date at the top of this page, and the updated Terms govern from that date. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms. If you do not agree to an update, stop using the Service.
